Chapter 3 of 4
Buybacks, delisting and debt restructuring: look beyond the headline
Compare how distributions, exits and revised financing claims affect remaining owners and cash risk.
In this chapter
Distinguish announced size from your actual outcome #
An announcement does not guarantee every investor sells their entire desired holding on identical terms. Acceptance, timing and the specific mechanism matter.
Keep the economic model separate from the operative offer process. Read the actual public documents before relying on an exit. This chapter does not teach current procedural rules or personal tax treatment.
Delisting changes the liquidity setting #
Leaving an exchange can change access to a trading venue and the options available to remaining holders. A proposed exit price is not automatically a final executed outcome. Relisting is not assured simply because a security once traded publicly.
Compare cash received, remaining claim, information access and liquidity under each scenario. Do not treat an announced delisting as a risk-free spread trade.
Restructuring reallocates claims #
Extending loan maturity, reducing coupon, converting debt to equity or accepting a haircut can change who bears losses and who receives future upside. An improved near-term cash schedule can coexist with economic loss to a creditor or dilution to owners.
Read the post-transaction capital structure. A smaller interest bill alone does not establish that the operating business recovered. Check whether realistic operating cash can service the revised obligations.
Hypothetical worked example
A fictional buyback EPS bridge
Profit is ₹10 crore and shares 1 crore, giving ₹10 EPS. If 10 lakh shares are repurchased and profit were unchanged, EPS would be about ₹11.11.
If lost cash income reduces profit to ₹9.5 crore, EPS is about ₹10.56 instead. Whether the buyback was attractive still depends on price paid, risk and alternative uses of cash.
Common mistakes
- Calling all EPS-accretive buybacks value-creating.
- Treating a proposed exit as guaranteed execution.
- Ignoring dilution in a debt-to-equity conversion.
What must accompany a buyback EPS calculation?
Make this chapter useful
Can you defend the reasoning?
Before moving on, answer the self-check in your own words and write why each alternative fails. Use the worked example to test that explanation. Then apply it in the module research task; keep the assumptions and the evidence that could change your answer.
Desk assignment
What to submit
Compare a fictional buyback, cash dividend and debt repayment with consistent operating assumptions and financing effects.
Use the research ledger for dated evidence, or the module workbooks for calculations. Separate observations, assumptions and interpretation.
