Chapter 4 of 4

Mergers, demergers and share swaps: reconcile the pieces

Follow exchange ratios, debt, ownership and standalone business value through a corporate reorganisation.

2 min read · Original educational chapter

Identify which claims are changing #

A merger combines businesses or claims under transaction terms; an acquisition transfers control or ownership through its chosen structure. A demerger separates a business into a different entity or claim. A scheme can package several changes together.

Start with the pre-transaction ownership and cash flows, then draw the post-transaction map. Do not assume every separation is tax-neutral, cash-free or mechanically value-enhancing.

A swap ratio is not a valuation conclusion #

A share swap specifies how many shares of one entity are exchanged for another. The economic comparison requires relative values, share counts, debt and any cash consideration.

EPS accretion can arise from accounting and financing even without adequate return on the purchase price. Assess purchase cost, integration spending, synergies and the risk that expected benefits fail to arrive.

Allocate capital and costs in a demerger #

The separated businesses need assets, debt, working capital and operating support. Shared services may become standalone costs. Parent-level liabilities can remain after a division leaves.

A sum-of-parts analysis should not count the same cash or earnings twice. Check non-controlling interests and cross-holdings. Value each claim under the same post-transaction perimeter.

Use scenarios before claiming value unlocked #

A transaction may clarify a business’s economics, but execution delays, integration problems, changed competition or financing can offset expected benefits.

For each case, reconcile pre/post shares, cash, debt and ownership. Distinguish an announced proposal from a completed event. Preserve the original source date so later modifications do not enter an earlier evaluation.

Hypothetical worked example

A fictional two-for-five swap

An investor holds 500 shares of Company B. A fictional merger exchanges every five B shares for two A shares, so the investor receives 200 A shares under those terms.

At a hypothetical A price of ₹300, the resulting holding reference is ₹60,000. That arithmetic does not prove fairness; compare B’s relinquished value, transaction cash and the combined business risk.

Common mistakes

  • Confusing swap quantity with proof of a fair price.
  • Counting cash in both parent and separated entities.
  • Treating an announced deal as completed.
Check your understanding

A holder has 500 B shares and receives two A shares for every five B. How many A shares result?

Make this chapter useful

Can you defend the reasoning?

Before moving on, answer the self-check in your own words and write why each alternative fails. Use the worked example to test that explanation. Then apply it in the module research task; keep the assumptions and the evidence that could change your answer.

Desk assignment

What to submit

Draw a pre/post transaction ownership, cash and debt map and test a case where expected synergies do not occur.

Use the research ledger for dated evidence, or the module workbooks for calculations. Separate observations, assumptions and interpretation.

Sources and further reading

Further-reading references from the curriculum source list. Contract sizes, expiry calendars, settlement references, margin parameters and tax treatment can change; verify the current operative documents for the actual product. Worked figures are illustrative, not current quotes.
